Negotiating and drafting coal joint-venture agreement
The processes involved in negotiating and drafting joint-venture agreements are described as an aid to those using the joint-venture vehicle to develop coal properties. A broad range of entities can form a joint-venture arrangement for the purpose of minimizing costs and competing for supply markets, and neither format nor content of these agreements has been standardized. The insights provided in this article cover the identification of prospective participants and goals, preliminary negotiations, and the content and legal implications of the joint venture agreement. The need for a competent lawyer who participates from the beginning in the negotiations and structuring process is stressed. (DCK)
