    This guide outlines the duties of BPA personnel designated as Contracting Officers Technical Representatives (COTRs). The BPA Administrator gives contracting officers (COs) in BPA responsibility and authority for awarding and administering contracts. COs are authorized to designate other BPA employees to act as their representatives for purposes of contract administration, from the time of contract award until final receipt and acceptance of the contracted services. COTRs are the individuals primarily relied upon to perform technical contract administration functions. Similar functions for supply and construction contracts are performed by engineering representatives, construction inspectors, and inspectors. Although this Guide is written primarily with the COTR in mind, the concept and operation of teamwork is essential throughout the entire process of contract administration. The CO administers the contract during performance, but rarely has expertise in all of the relevant technical areas. Therefore, CO decisions rely on input from a team. The COTR is an indispensable member of that team. The instructions in this Guide are designed to facilitate this essential CO-COTR cooperation. COTR duties are usually additional to those required of the COTR in his or her assigned line organization. The COTR is still accountable to the line supervisor for performance of regularly-assigned duties. These duties are to be reflected appropriately in performance appraisals and job descriptions. For contract administration duties, however, the COTR reports directly to, and is accountable only to, the CO. The COTR`s supervisor must allow sufficient time to ensure that the COTR can adequately monitor the contract for technical compliance. This Guide is designed for COTRs who are performing service contract (including intergovernmental contract) administration functions as an adjunct to their normal technical duties.

    This report describes the finding and recommendations on the audit of contractor costs for support services at Department of Energy (DOE) Headquarters. The objective was to determine whether the Office of Management and Budget (OMB) Circular A-76 requirement for new and existing support services contracts was properly implemented. DOE spends about $229 million on support services annually. The audit found that, on average, the costs to perform the work in-house were 40 percent less than contractor costs. The contracted activities were nevertheless continued because DOE policy did not require a cost comparison analyses as part of the program office request for support services. In addition, program officials were reluctant to perform cost comparisons because of concerns about the time required to complete the cost analysis and the availability of additional Federal positions needed for conversion to in-house performance. For the contracts reviewed, DOE could have saved $16.3 million by performing these services in-house rather than by contract.

    The purpose of this audit was to review the Department`s acquisition and use of support service contractors and subcontractors. The audit objectives were to determine if the Department (1) paid fees to both support service contractors and subcontractors for services exclusively performed by subcontractors, (2) used support service contractors to perform inherent government functions, and (3) rolled over unearned award fees to subsequent evaluation periods and had adequate management controls to ensure that contractor performance would be evaluated. The Department did not always obtain support services in the most economical and effective manner. The Department negotiated and paid four of six support service contractors an estimated $5.1 million in fees for services exclusively provided by subcontractors because the Department did not have a policy which addressed the inclusion, at the pre-award phase, of subcontract labor in the support service contractors` fee determinations. Furthermore, while the authors found no instances where support service contractors performed inherent government functions, they did note that the Department maintained minimal administration over major portions of contracted-for services on three of six support service contracts. This occurred because contractors subcontracted extensively for support services. Consequently, the Department may have decreased their ability to control cost growth on these three contracts. As discussed in Part 4, the Department`s process was sufficient in five of six cases to evaluate support service contractor performance. However, one of six cost-plus-award-fee contractors received award fees that exceeded its performance ratings by $89,000 because one Departmental office elected to rollover unearned portions of fees from prior evaluation periods and make them available in the next evaluation period.

    Current approaches for the discovery, specification, and provision of services ignore the relationship between the service contract and the conditions in which the service can guarantee its contract. Moreover, they do not use formal methods for specifying services, contracts, and compositions. Without a formal basis it is not possible to justify through formal verification the correctness conditions for service compositions and the satisfaction of contractual obligations in service provisions. We remedy this situation in this paper. We present a formal definition of services with context-dependent contracts. We define a composition theory of services with context-dependent contracts taking into consideration functional, nonfunctional, legal and contextual information. Finally, we present a formal verification approach that transforms the formal specification of service composition into extended timed automata that can be verified using the model checking tool UPPAAL.

    The Department of Energy's (Department) Office of River Protection (ORP) is responsible for the storage, treatment, and disposal of over 53 million gallons of highly radioactive waste from over 40 years of plutonium production at the Hanford Site. Because of the diversity, complexity, and large scope of its mission, coupled with its small staff, ORP told us that it has found it necessary to engage in service contracts to obtain consulting services, technical expertise, and support staff. Federal policy generally permits contractors to perform a wide range of support service activities, including, in most situations, the drafting of Government documents subject to the review and approval of Federal employees. Federal policy issued by the Office of Management and Budget, however, prohibits contractors from drafting agency responses to Congressional inquiries and reports issued by the Office of Inspector General and Government Accountability Office (GAO) because they are so closely related to the public interest and provide the appearance of private influence. To provide a majority of its needed services, ORP issued a Blanket Purchase Agreement to Project Assistance Corporation (PAC) in 2003. Through the Blanket Purchase Agreement, ORP acquired services in the areas of project management, risk assessment, program assessment, quality assurance, safety, cost and schedule estimating, budgeting and finance, and engineering. PAC has, in turn, subcontracted with various other firms to obtain some of the services needed by ORP. From 2005 to 2008, the total annual cost for the contract with PAC had grown from $4.7 million to $9.2 million. Because of the extent of the services provided and growing costs of the contract, we conducted this review to determine whether ORP appropriately administered its contract with the Project Assistance Corporation. Our review disclosed that, in some instances, ORP had not appropriately administered all work performed under the PAC contract. Specifically, ORP allowed PAC employees to perform work that was inherently governmental and created situations where a potential conflict of interest occurred. Specifically: (1) ORP assigned PAC employees responsibility for providing information and responses to Congressional inquiries and reports issued by the GAO and the Department of Energy's Office of Inspector General (OIG); and (2) PAC employees were also allowed to perform functions that created potential conflicts of interest. ORP permitted PAC employees, for example, to develop statements of work and approve funding of work to be performed under PAC's own contract. We concluded that these problems occurred, at least in part, because ORP had not established controls necessary to effectively administer the PAC contract. Federal procurement regulations recommended that agencies provide additional management controls over contractors whose work has the potential to influence the action of government officials. ORP, however, had not implemented the controls specifically recommended in Federal policy guidance for administering contracts, including: (1) Performing conflict of interest reviews; and (2) Separating contractor and Department employees either physically or organizationally. By not effectively administering its contract with PAC, ORP increased the risk that decisions based on work performed by the contractor may not have been made in the best interests of the Department. For example, ORP increased the risk that approved work would be unnecessary or too costly. As we also recently noted in our report on 'Management Challenges at the Department of Energy' (DOE/IG-0808, December 2008), contract administration issues such as those discussed in this report remain a significant vulnerability. Continued efforts to improve this area are vitally important since the risk that contractors receive payments for unallowable costs could also increase as the Department expands its contracting activities under the American Recovery and Reinvestment Act.     This updated publication, produced for DOE's Federal Energy Management Program (FEMP), is an overview of DOE's streamlined energy savings performance contracting ("Super ESPC") process. It is intended for Federal energy and facility managers, contracting officers, procurement staff, private energy service companies (ESCOs), and any others involved in this contracting process. A Super ESPC is an indefinite-delivery, indefinite-quantity contract that allows a qualifying, preselected ESCO to pay the initial capital cost of energy efficiency improvements or renewable energy technologies at a Federal facility. The ESCO is then repaid over time from the Federal agency's resulting cost savings over the term of the contract, which can be up to 25 years. Among other benefits, Super ESPCs allow Federal agencies to obtain energy efficiency improvements and new technologies without having to go through the entire contracting process or having to pay the up-front costs of new equipment and services.

This article traces the development of an SES contract from feasibility study through development of the request for proposal (RFP) to contract award and implementation.     This paper discusses the use of a Shared Energy Savings (SES) contract as the procurement vehicle to provide, install, and maintain closed-loop ground-coupled heat pumps (CLGCHP`s) for 4,003 family-housing units at Fort Polk, Louisiana. In addition to the requirement relative to heat pumps, the contract allows the energy service company (ESCO) to propose additional projects needed to take full advantage of energy cost-saving opportunities that may exist at Fort Polk. The paper traces the development of the SES contract from feasibility study through development of the request for proposal (RFP) to contract award and implementation. In tracing this development, technical aspects of the project are set forth and various benefits inherent in SES contracting are indicated. The paper concludes that, due to the positive motivation inherent in the shared-savings, as well as partnering aspects of SES contracts, SES contracting is well suited to use as a procurement vehicle.

The Contract Management Information System is being developed to achieve these objectives. This document provides a Project Management Plan for development of the Contract Management Administration System (CONTRACT) by Design Services DAD/CAE Support. The Project Management Plan describes the project work breakdown structure, safety and quality considerations, with associated cost, schedule and project management information.     This report addresses the {open_quotes}contracts portfolio{close_quotes} issue of natural gas contracts in support of the Domestic Natural Gas and Oil Initiative (DGOI) published by the U.S. Department of Energy in 1994. The analysis is a result of a collaborative effort with the Public Service Commission of the State of Maryland to consider {open_quotes}reforms that enhance the industry`s competitiveness{close_quotes}. The initial focus of our collaborative effort was on gas purchasing and contract portfolios; however, it became apparent that efficient contracting to purchase and use gas requires a broader consideration of regulatory reform. Efficient portfolios are obtained when the holder of the portfolio is affected by and is responsible for the performance of the portfolio. Natural gas distribution companies may prefer a diversity of contracts, but the efficient use of gas requires that the local distribution company be held accountable for its own purchases. Ultimate customers are affected by their own portfolios, which they manage efficiently by making their own choices. The objectives of the DGOI, particularly the efficient use of gas, can be achieved when customers have access to suppliers of gas and energy services under an improved regulatory framework. The evolution of the natural gas market during the last 15 years is described to account for the changing preferences toward gas contracts. Long-term contracts for natural gas were prevalent before the early 1980s, primarily because gas producers had few options other than to sell to a single pipeline company, and this pipeline company, in turn, was the only seller to a gas distribution company.

    With the approach of retail wheeling, subsequent price volatility and more than a little utility confusion on the horizon, it is a great time to pose the question; why not reach out and become an international ESCO? There are lots of countries that could certainly benefit from the introduction of performance contracting and the establishment of full service energy service companies. ESCOs from a number of countries are already {open_quotes}testing the waters{close_quotes} around the world. British, German, Austrian, French, and Australian companies, and probably others, are looking for business in areas far from home. There is no question that international markets can be very favorable targets for an ESCO that is ready to broaden its market base. There is a long list of developing countries: the Central and Eastern European nations, the new nations that once formed the Soviet Union, the {open_quotes}awakening giants{close_quotes} like China, Indonesia and India ... all ought to be good opportunities for a growing ESCO to plant the flag of performance contracting ... but are they?

    Competitive bidding for electric power is maturing. Increasing numbers of utilities are soliciting proposals from private suppliers. The amount of capacity being sought is increasing, and potential suppliers appear to be abundant. Analysis of these developments still remains limited. Evidence on the behavior of this market is scarce and sketchy. The underlying economic principles that are shaping the market have not clearly been articulated. In this report we examine the economics of competitive bidding both empirically and analytically. Previous study of this market has focused on the evaluation criteria specified in Requests for Proposals (RFPs), and highly aggregated summary statistics on participation and results. We continue the examination of RFPs, but also survey the details of long term contracts that have emerged from competitive bidding. Contracts provide a new level of specific detail that has not been previously available. 68 refs., 13 figs., 25 tabs.

    This manual is designed to be a primary reference source regarding energy performance contracting for public facilities in New York State. It explains the principles of energy performance contracting. and provides a guide to procuring services and negotiating the contract. Energy Performance Contracting is a mechanism by which an energy service company (ESCO) provides a variety of measures that will reduce the facility owner`s energy consumption through a combination of energy efficiency improvements and operation and maintenance measures. The key distinguishing feature of energy performance contracting is that the ESCO takes on project performance risk so the owner is guaranteed that energy usage or cost reduction will be sufficient to pay all or a specified portion of the project costs. One defining feature of the energy performance contracting process is the use of a request for proposals (RFP) for procuring these comprehensive services based on best value. Under an energy performance contract, comprehensive services are negotiated and implemented in phases, including: comprehensive energy audit of the facility; arranging for project financing; design, procurement, installation, and commissioning of agreed upon measures; and long-term services, such as equipment maintenance and the savings guarantee.

    Utilities and energy services companies (ESCOs) are aggressively marketing long-term contracts for DSM savings. Although there may be no initial capital investment or out-of-pocket expense required of them, these contracts impose long-term financial and operating obligations and risks on the customer which may not be readily appreciated and may significantly affect the customer`s business. This paper discusses a number of key issues peculiar to DSM performance contracts which customers should examine carefully before signing an agreement with either an ESCO or utility. These issues include: performance contract structures; tax issues, term of the contract; measurement and verification of savings; construction issues; operating and maintenance responsibilities, and the effects of a force majeure event. One of the primary reasons businesses have not already installed new energy efficient equipment is a lack of capital. But, the increased availability of performance contracting as an alternative financing vehicle has significantly reduced this problem, bringing DSM projects within reach of a much broader range of consumers, such as medium-sized businesses, light industries, large office complexes, universities, hospitals, school districts, municipalities and other governmental bodies. ESCOs, through performance contracts, are willing to assume full responsibility for developing and financing the DSM project, looking to the customer only for a payment of a portion of the attributable {open_quotes}savings.{close_quotes} This interest in DSM programs has also been given a significant financial boost recently by the tax benefits offered to customer by the Energy Policy Act of 1992 and by financial incentives offered to utilities by the Clean Air Act Amendments. In addition, some states` regulators have offered utilities additional financial incentives for meeting pre-defined demand-side management goals (and imposed penalties for the failure to meet those goals).

    Energy Savings Performance Contracts (ESPCs) allow governments to tap private capital to finance energy efficiency improvements; the debt service on the financing is paid from the energy and energy-related cost savings generated by the efficiency projects themselves. Since 1998 about 43% of the funding for energy efficiency upgrades in US federal buildings has come from ESPC and other similar programs. This paper describes the balance sheet for an ESPC project as currently implemented by US federal agencies, and shows how parameters such as the cost of the project, the interest rate for financing, level of savings, energy escalation rates, and others combine to determine the project cash flow. The paper also examines the sensitivity of project economics to changes in each of these parameters.

    The Wallop Amendment portion of the Deficit Reduction Act of 1984 establishes a new rule that energy project developers involved in cogeneration and alternative energy projects need to understand in order to meet tax requirements. The new rule addresses questions about the distinction between a service contract and a lease of property for tax purposes by establishing four requirements an energy sales contract must meet to be classified as a service contract: The service recipient cannot operate the facility, bear a significant financial burden due to nonperformance, receive a significant financial benefit, or have an option or obligation to purchase at other than a fair market value. The Act will affect the structure of future alternative energy projects, but continues to offer tax benefits as long as conditions are met.

Energy Savings Performance Contracting (ESPC) offers a means of achieving this energy reduction goal at no capital cost to the government.     Legislators, designers of legal information systems, as well as citizens face often problems due to the interdependence of the laws and the growing number of references needed to interpret them. Quantifying this complexity is not an easy task. In this paper, we introduce the "Legislation Network" as a novel approach to address related problems. We have collected an extensive data set of a more than 60-year old legislation corpus, as published in the Official Journal of the European Union, and we further analysed it as a complex network, thus gaining insight into its topological structure. Among other issues, we have performed a temporal analysis of the evolution of the Legislation Network, as well as a robust resilience test to assess its vulnerability under specific cases that may lead to possible breakdowns. Results are quite promising, showing that our approach can lead towards an enhanced explanation in respect to the structure and evolution of legislation properties.

    The US Army, in cooperation with an energy services company (ESCO), used private capital to retrofit 4,003 family housing units on the Fort Polk, Louisiana, military base with geothermal heat pumps (GHPs). The project was performed under an energy savings performance contract (ESPC) that provides for the Army and the ESCO to share the cost savings realized through the energy retrofit over the 20-year life of the contract. Under the terms of the contract, the ESCO is responsible for maintaining the GHPs and provides ongoing measurement and verification (M and V) to assure cost and energy savings to the Army. An independent evaluation conducted by the Department of Energy`s Oak Ridge National Laboratory indicates that the GHP systems in combination with other energy retrofit measures have reduced annual whole-community electrical consumption by 33%, and natural gas consumption by 100%. These energy savings correspond to an estimated reduction in CO{sub 2} emissions of 22,400 tons per year. Peak electrical demand has been reduced by 43%. The electrical energy and demand savings correspond to an improvement in the whole-community annual electric load factor from 0.52 to 0.62. As a result of the project, Fort Polk saves about $450,000 annually and benefits from complete renewal of the major energy consuming systems in family housing and maintenance of those systems for 20 years. Given the magnitude of the project, the cost and energy savings achieved, and the lessons learned during its design and implementation, the Fort Polk ESPC can provide a model for other housing-related energy savings performance contracts in both the public and private sectors.

The ESCO is then repaid over time from the agency's resulting energy cost savings. Delivery orders under these contracts specify the level of performance (energy savings) and the repayment schedule; the contract term can be up to 25 years, although many Super ESPCs are for about 10 years or less.

    An option of growing interest to utilities and their customers is the energy service company or ESCO. It typically provides or coordinates several energy services including performing energy audits or analyses, designing and engineering of retrofit projects, managing the installation of more efficient equipment, and maintaining systems for optimal performance. Perhaps the key distinguishing feature of an ESCO is financing that allows the customer to avoid or reduce first costs and pay for the energy services through savings on electric and fuel bills. By paying for the energy services through savings on energy bills, the arrangement becomes a performance contract. It is difficult to find a major utility in North America that is not considering establishing or working with an ESCO. Many have made that commitment and many more are likely to do so. From the perspective of the facility owner, the increased presence of ESCOs will present some challenges in determining the best option, but the rewards for selecting an ESCO of high quality and reliability should be worth it. A facility manager considering a contract with an ESCO that is not a utility subsidiary should call their local utility for comparative information.     In June 1993, Secretary of Energy Hazel O`Leary formed a Contract Reform Team, chaired by Deputy Secretary Bill White, to evaluate the contracting practices of the Department of Energy and to formulate specific proposals for improving those practices. This report summarizes the results of the work of the Contract Reform Team. It recommends actions for implementation that will significantly improve the Department`s contracting practices and will enable the Department to help create a government that -- in the words of Vice President Gore -- {open_quotes}works better and costs less.{close_quotes} These actions and the deadlines for their implementation are listed. Among other things, they recommend replacing the Department`s standard Management and Operating Contract with a new Performance-Based Management Contract and strengthening the Department`s systems for selecting and managing contractors.
